NHC Communications Inc. files final prospectus in relation to $10
million bought deal financing with Yorkton Securities Inc.

MONTREAL, March 26 /CNW/ - NHC Communications Inc. (TSE: NHC - news), a leading provider of carrier class test access and deployment
solutions for the telecommunications market, today announced that it has filed, and obtained receipts for, its final prospectus in relation to its
previously announced sale of 3,335,000 units at $3.00 per unit for aggregate gross proceeds of $10 million to Yorkton Securities Inc., on a bought
deal basis.

Each unit will consist of one Common Share plus one half of a Common Share Purchase Warrant. Each full Warrant will entitle the purchaser to
acquire one Common Share of NHC Communications for $4.00 at any time until two years from the closing of the offering. The offering is scheduled
to close on or about March 30, 2001.

The net proceeds of the offering will be used for working capital and general corporate purposes.

The units and the underlying Common Shares and warrants have not been registered under the United States Securities Act of 1933, as amended,
and may not be offered or sold within the United States or to, or for the account or benefit of, U.S. persons absent U.S. registration or an applicable
exemption from U.S. registration requirements.

i just can't tell if the market is telling us that NHC isn't going to deliver the sales to the sector that were expected, or if it just got beaten up really badly.

at this level, the options to the mgmt and board members from the US side are just not going to keep them in place.

I hope that the CDN arm is letting them do their work and not sticking their nose in all the time. The problem here, is that NHC has had the same mgmt for quite a number of years. I have concerns about their ability to delegate roles and just let other people do their tasks.

I think it is fairly clear that the DSL rollouts are gaining steam, pushed by the cable group and the simple fact that the customers really are there.
