Good luck next week with this pick, Al Cons Beacon plans private placement Consolidated Beacon Resources Ltd KBC Shares issued 11,522,551 Mar 22 close $0.29 Fri 23 Mar 2001 News Release Mr. Vernon Gerlitz reports Consolidated Beacon is proposing a private placement with three shareholders whereby such shareholders will sell a total of 1.3 million common shares of the corporation through the facilities of the Canadian Venture Exchange, and will then purchase an equivalent number of units of the corporation at no less than 29 cents per share. The purchase price paid by such shareholders for the units will be equal to the net proceeds realized from the sale of their common shares through the facilities of the Canadian Venture Exchange. Each unit will consist of one common share and one common share purchase warrant entitling the holder thereof to purchase one common share at 29 cents per share at any time prior to 4:30 p.m. (Calgary time) on the date that is two years from the issuance of the warrants. The common shares and warrants, which comprise the units, will be subject to a one-year hold period under applicable securities legislation. As a result of these sales, the proportion of ownership of the corporation by such shareholders will be substantially unchanged by the private placement. The proceeds from the private placement will be used by the corporation in respect of capital expenditures by the corporation's wholly owned subsidiary, Elliott Industrial Petroleum Ltd., the corporation's seismic program in respect of its lands in Nova Scotia and for new project financing.
