I haven't studied the filings; is there a breakup fee if XTND takes a walk?

As I read the acquisition agreement [Section 6.1(a)], without shareholder approval, the deal folds. No termination payment under Section 7.

I would think that shareholders will vote the deal down; I think I will buy some more XTND.
