April 1, 2001 12:01am Source: Highly Questionable SANTA CLAUS, Calif., April 1 /SPOOF/ via BusyWire -- Inteel Corporation announced today the signing of a definitive agreement to acquire AAMD for $8.535 million in a cash transaction. The transaction is expected to close on April 1, 2001 and is subject to normal course regulatory filings and other customary conditions. AAMD, located in Cloudyvale, is a semiconductor manufacturer with facilities in the U.S. and Asia and sales offices throughout the world. Inteel's Barret said, "our interest in AAMD is due to their sales offices. The United States economy is experiencing an inventory correction not unique to Inteel's economy, but hopefully not as bad as Cisco's economy. Dealing with excess-inventory dealers is a job we feel Sandy can do." Sandy was quoted as saying, "I am VERY close to the dealers, er, buyers." AAMD was founded during the hippie days of the 60's. However, concern over this possible merger is finding its roots in AAMD shareholders. Tejeck pondered if the two companies "could get along." Peter Luck, a major AAMD shareholder protested, "but we love AAMD!" Meanwhile, Paul Angel, a major Inteel shareholder expressed mild concern over the possible merger, "It STINKS!" Yet another Inteel shareholder, Jon asked, "how will this impact earnings and fixed costs?" Another Inteel shareholder, Ammy, known for her concern over equal rights expressed her thoughts, "will this Oricle-ize Inteel?" While concerns floated among shareholders of both companies, analyst Trucker wisely noted, "it would appear the purchase price is less than the book value." Although this statement was quickly hedged with, "but that depends upon what debt, if any, is hidden on AAMD's books." Fortunately, to the relief of Inteel shareholders, Mr. Briant, CFO of Inteel promised, "no, we will not let Sandy touch the finances." When asked about concerns over FTC approval, Inteel's Mr. Dunlip quipped, "we have learned from Redmond." "The acquisition of AAMD is a great strategic fit for Inteel," stated analyst Mr. La Bubbler who raised his rating on Inteel from a Sell to a Strong Buy citing his overly strong belief in AAMD. Mr. Kuman said, "this is going to be road kill for Inteel," as he lowered his rating from Strong Buy to Buy. Meanwhile, Mr. Magician of UK said, "this will be a big boom for the publishing business." "AAMD has some of the strongest relationships with excess-inventory dealers in the market," noted an analyst from DataQuill. Inteel Corporation Inteel, a large chip maker.
