The first and most important reason is that you already own a huge amount. Most people don't want 100% of their wealth tied up in one stock.

There is no incentive to buy a stock that you already own a TON of as an employee or insider. The options package will make you rich if the stock appreciates.

Would you purchase stock when you have huge "free" options outstanding? I doubt it.
