Software to Merge

REDWOOD CITY, Calif. (Reuters) - E-business software maker Kana
Communications Inc. (NasdaqNM:KANA - news) and Broadbase
Software Inc. (NasdaqNM:BBSW - news) on Monday announced a
definitive merger agreement valued at about $75.8 million in stock.

Under the agreement, Kana will offer 1.05 shares of its stock for each
Broadbase share. The deal is expected to close in the third quarter,
subject to shareholder approval.

Broadbase President and Chief Executive Chuck Bay will retain his titles at the merged company,
called Kana Software. Kana Chairman and Chief Executive Jay Wood will be the chairman of the new
company's board of directors.

Kana, based in Redwood City, Calif., makes portal software that helps companies better communicate
with their customers and partners via e-mail and other means. Broadbase, based in Menlo Park, Calif.,
makes customer interaction software.
