STOCK Buyers ALERT

Issue 343 April, 2001

Stock Buyers Alert is initiating coverage on A.B. Watley Group, Inc (NASDAQ: ABWG) with a rating of Strong Buy. We feel that ABWG is committed to becoming the premier provider of online trading services, software development and licensing along with technologically advanced service oriented brokerage services.

ABOUT THE COMPANY:

A. B. Watley Group was founded in 1996 and is the parent of A.B. Watley, Inc., a highly respected Wall Street Broker/Dealer firm with more than 40 years trading experience. The group was established to provide the technology foundation needed to sustain the firms success in the new economy and to provide internet- based service delivery to active traders and investors. The resultant organization brings powerful technology based services such as the Ultimate Trader to the established trading entity, A.B. Watley, Inc.
A.B. Watley customers, ranging from personal investors to active day traders to investment organizations are now supported by the Watley Trader or the Ultimate Trader running in the new computing environment. Speed reliability, security and ease-of use are now greatly enhanced to meet the Watley vision of providing the highest quality on line trading environment at the lowest cost.
The Ultimate Trader delivers real -time streaming data to on-line traders and investors, allowing them to execute trades directly at exchanges or through electronic communication networks (ECN's) and Market Makers. Ultimate Trader allows orders to be executed in approximately 1 second rather than the typical 60 to 90 seconds for the most web-based electronic trading systems. Ultimate Traders direct access model eliminates the middle man.
The Watley Trader service offering is designed for the personal investor wishing to access investment information (including real-time quotes) via the internet with they ability to make trades for as low as $9.95 per trade execution. The service has been upgraded for the new Watley computing environment and provides very fast response time and more data availability.

A.B. Watley, Inc.s mission statement is to provide the highest quality trading technology and service in the industry at the lowest possible cost. As the brokerage service arm of the organization, it uses the internet as well as traditional delivery channels to provide traders and investors with remote, easy and very low cost access to technology as well as the firms more than 40 years expertise . It does this through the technological expertise and resources of A.B. Watley.

REASONS TO OWN THE STOCK:

1) ABWG recently announced that it is about to begin integration testing of E*TRADE Pro, a direct- access trading product developed with E*TRADE Securities. This collaboration has the potential to earn roughly $36 million per year from E*TRADE.
2) ABWG enters the multibillion dollar software licensing market with their new proprietary direct-access program creating an additional revenue source.
3) ABWG plans to become self-clearing by 2002. This move will further enhance revenues and margins by shifting a portion of the companies cost structure to fixed from variable.
4) 5 Insiders of ABWG have been purchasing shares on the open market at these low levels. Stock Buyers Alert feels that this is surely an indication that the stock price is undervalued.
5) Stock Buyers Alert believes that ABWG can earn $0.65 per share in 02. and with a modest 25 times multiple, SBA has a $16.25 target price.
6) Mutual Shares a fund inside the Franklin Templeton Group, a 100 billion dollar fund family, recently purchased a significant amount of ABWG.

A.B. Watley Group Inc. (NASDAQ: ABWG), a premier financial services software provider (www.abwatley.com), today announced the closing of a private placement of approximately $11 million. Net proceeds will be used to launch Watley's self-clearing operation, the expansion of its institutional software licensing division, and for general working capital. Keefe Bruyette & Woods, Inc. acted as the company's financial advisor and placement agent.

"Despite the difficult market environment, we were able to meet our financing needs within our scheduled time frame. The success of this capital raise, and the involvement of prominent institutional investors is an endorsement of direct-access technology, of our proprietary and scalable systems, and of the strategic direction of our business. Up until this time, we have been very focused on refining the economics of our core online brokerage business. To that end, we brought significant cost-saves to our core business with the launch of our proprietary technology in the latter part of 2000. In addition, our highly scalable technologies gained institutional prominence in November with the signing of our first institutional client. Going forward, we will be focused intently on marketing our technologies to other leading financial services companies. We are excited about the prospects of delivering high margin incremental revenue from institutional software licensing relationships." said Tony Huston, A.B. Watley Group President.

"We are very pleased to have completed this round of financing. The fundamentals of our business continue to be sound and we expect our software licensing business to represent an important part of our future revenue stream. We are very pleased to have expanded our institutional shareholders with this group of first-class investors. Their endorsement of our business means very much to us." said Steven Malin A.B.
