Why do you think Spinco will hit the fan of return? I don't have a clue what the phrase "fan of no return" means but I don't think it's something I want to experience.

The thinking behind Spinco is to seed it with enough CDMA IPR so that it can x-license for whatever IPR it needs in order that it can make WCDMA/GSM chips, and allow QClassic to simply collect royalties, do research, etc. Since Spinco won't pay any royalties to QClassic, it will have an approximate 4-5% cost advantage over its competitors. In the telecom world, that edge should be more than enough to allow Spinco to do well. Where's the fly in the ointment?
