Cisco Systems to Acquire NuSpeed Internet Systems
Technology Connects Storage Area Networks to the Internet Protocol Network
SAN JOSE, Calif., July 27, 2000 - Cisco Systems, Inc., today announced a definitive agreement to acquire privately-held NuSpeed Internet Systems of Maple Grove, Minnesota. NuSpeed Internet Systems' technology connects storage area networks and Internet Protocol networks. With this strong foundation of storage area network expertise, Cisco will be able to offer its customers a solution to converge data and storage networks into one infrastructure.

Under the terms of the agreement, Cisco common stock worth an aggregate value of approximately $450 million will be exchanged for all outstanding shares and options of NuSpeed Internet Systems. This acquisition will be accounted for as a purchase and is expected to be completed in the first quarter of Cisco's fiscal year 2001. In connection with the acquisition, Cisco expects a one-time write off of up to $.03 per share for purchased in-process research and development expenses. The acquisition has been approved by the board of directors of each company and is subject to various closing conditions.

With the explosion of the Internet Economy, storage area networks have become vital for companies to store and quickly retrieve data on demand, as well as back up their systems. NuSpeed Internet Systems enhances Cisco's storage area network strategy by creating new applications for customers on IP networks and is part of Cisco's continued effort to drive an open, standards-based model to address customer's end-to-end requirements.

NuSpeed Internet Systems technology will be implemented in Cisco solutions to interconnect storage area networks with metropolitan area networks (MANs), wide area networks (WANs) and local area networks (LANs). NuSpeed Internet Systems is a leading company in implementing the iSCSI protocol that provides a way for the two disparate networks to communicate. Customers benefit by managing a single, common network infrastructure as opposed to two separate and distinct environments.

NuSpeed Internet Systems was founded in 1999. The 56 employees will be led by NuSpeed Internet Systems CEO Mark Cree and will operate in the Enterprise Line of Business led by Senior Vice President James Richardson.

J. I think we may be in the midst of transition and restructuring related to moving from the old business model to the new, for telco (and thats why there is such exteme turmoil and murkyness). It will be interesting to see when long distance rates just go to the cellphone model, where you pay a monthly fee for all your local and long distance calls. Then you will be paying for a connection, and the amount of bandwidth. The invisible hand of the free market is working over the industry, but eventually strength will return, and companies like Cisco will accelerate there aquisition program as needed to stay on course.

Cisco will be demonstrating the power of IP telephony and the functionality of the Cisco IP phones from April 19-22 in the Cisco Systems Media Centre. Demonstrations will include:

- Unified Messaging: Unified messaging consolidates voice mail, e-mail
and fax reception. Retrieve all your messages from a single source and
view email and faxes on your telephone screen. With the Cisco IP Phone,
users can identify incoming messages and categorize them. With Virtual
Intelligence Assistants, users can personalize communications and route
calls as required. Calls from your mother can be automatically routed
to voicemail; calls from your boss or customer can be routed to your
cellphone if you're out of the office.

- IP SoftPhone: Cisco IP SoftPhone is a Windows-based application for the
PC. With Cisco IP SoftPhone running on a laptop you can take your
extension with you and receive calls wherever you are connected to the
corporate network. Dial-up connections can be used to check voicemail
and place calls while online.

- Cisco CallManager: Cisco CallManager is the intelligent call-processing
software component of Cisco AVVID. CallManager provides signaling and
call control services and allows businesses to scale to 10,000 users
and triple call processing capability.

- Cisco Intelligent Contact Management (ICM) Solutions: ICM is the
customer contact centre of the future -- today. Using network-provided
data, caller-entered digits, and information obtained from a customer-
profile database, ICM determines who is calling and why. At the same
time, it tracks the resources available to meet the customer's needs
based on real-time information gathered from contact centre systems.

- Web Information Services: Access diverse web-based information such as
