but something smells really really bad

The only things that smells bad are the decisions made by TJ and Bell. They ran up the expenses pursuing a failed growth strategy that was nothing more than their own masturbatory fantasy. Let’s face it, these guys have never successfully made money for anybody. Why would their tenure at ATHM be any different?

Bottom line, if the company wanted to continue to operate they had to raise additional cash. At least their MSO “partners” know AT&T will take good care of the BB assets. Otherwise, they may have split.

I don't understand the deal. How does an ISP sell their network? Is this the TDM/ATM feeds or the routers and networking stuff.

If its just bandwidth, I don't know that I care. It may be a commodities market in 2 years. Check out RTX and you'll see what I mean. Commodiites exchanges are opening up for bandwidth. Personally I'd like to shop around and not depend on AT&T to provide my bandwidth since their delivery costs are probably much higher than say a good CLEC.

I think this goes back to you original question of what does this company own? Losing its inhouse technical capability and links to the cable modem/CATV world altogther and their gate keeper function with MSO headends [if that ever really existed] would make this company worthless. Especially for a paltry $85 million. No doubt TJ blew at least this up his nose while he was in the office. I should have considered this when I saw his big, red, oversized nostrils during the CNBC interview.
