JDS Uniphase to make announcement
Stock falls on acquisition speculation

SAN JOSE (CBS.MW) - JDS Uniphase shares fell in after-hours trading Monday after the fiber optics components maker said it would hold a conference call Tuesday to discuss "important developments."

The company provided no further details and was not immediately available to comment. The conference call will come two days before the company is scheduled to release third-quarter earnings.

JDS Uniphase (JDSU: news, msgs, alerts) fell $1.25, or 5 percent, to $22.93 in the after-hours session after tumbling $4.35 to $24.18 in the regular session. Its Toronto-traded shares (CA:JDU: news, alerts) dropped C$6.40 to C$39.30.

"It's almost impossible for it to be another pre-announcement at this late stage," said Duncan Stewart, a portfolio manager at Toronto-based Tera Capital Corp. "It's probably an acquisition, which may be Lucent's fiber optics business."

Beleaguered telecommunications networking equipment maker Lucent Technologies (LU: news, msgs, alerts) put its optical fiber business, which had revenue of $2 billion in fiscal 2000, up for sale on March 14. Lucent shares rose 50 cents to $9.70 in after-hours trading, a gain of 5 percent.

"This is the time when smart companies start buying other companies," Stewart said.

Lucent spokesman Bill Price said the company does not comment on market speculation.

JDS Uniphase, which is headquartered in both San Jose, California, and Ottawa, Ontario, is expected to report third-quarter earnings of 14 cents a share, up from 11 cents a share in the same period a year earlier. The company earned 21 cents a share in the third quarter.

The company warned in March that lower capital spending in the telecommunications industry would dent earnings in the quarter. JDS cut its third-quarter net income forecast to 14 cents a share from 17 cents a share and lowered its revenue outlook to $925 million from $1 billion.

For the fourth quarter, net income and revenue are expected to be flat with the third quarter.

JDS Plunges 20% Amid Tuesday Announcement Speculation

JDS Uniphase (JDSU:Nasdaq - news) dropped nearly 20% in after-hours trading as Wall Street speculated about a "special conference call" the company has scheduled for 8 a.m. EDT Tuesday.

Among the possible reasons for the call, say some analysts and investors, is an announcement that the optical component maker will buy Lucent's (LU:NYSE - news) fiber-optic cable manufacturing plant. Lucent declined to comment, and JDS didn't return a call seeking comment.

Lucent shares ended normal trading down 3% Monday, but in aftermarket trading the stock was up almost 2% to $9.68.

Lucent, which is scheduled to report second-quarter earnings before the market opens tomorrow, has been seeking bidders for its fiber-making operation. JDS, along with Corning (GLW:NYSE - news) and wildcard GE (GE:NYSE - news), is reported to be interested. The estimated value of the business is somewhere in the range of $4 billion to $6 billion.

The cash would help Lucent pay off a portion of its debt and help improve the company's credit rating, which has been put on watch by Standard & Poor's.

To be sure, the JDS Uniphase announcement could involve an internal matter regarding management or earnings (JDS is set to report earnings after the market closes Thursday), for instance. Some analysts expect a shake-up of the management ranks, reasoning that when JDS acquired fellow component maker SDL earlier this year, it gained a rather top-heavy organization. Notably, SDL President and CEO Don Scifres took the president spot of one business group while Jay Abbe, former president and COO of JDS Uniphase, became president and COO of three business groups.

"The sand box isn't big enough for all these boys, so somebody has to leave," says an analyst who asked not to be named. But another analyst says the timing suggests a Lucent fiber deal. Tomorrow we'll find out.
