I think you're reading too much into the passage. Proxy statements are not forward looking. Mostly they just discuss events that have ocurred during the past year with the exception of ambiguous boilerplate warnings about the future that occur now and then by legal convention, such as "We expect to have sufficient funds to support our operations for the next twelve months...", "The outcome of this lawsuit is unknowable at this time and could have a material impact upon our business or share capital...", "We have never and may never pay a dividend...", "Changes in the regulatory environment within which our businesses operate may impact...", etc.. Rarely if ever have I encountered forward looking statements in a 10-K or the like regarding the progressive development of the business. When I next speak to Nicole Knowles to inquire about Infospace's relationship with Orange, I'll suggest to her that a statement by the company at some point touching upon Digeo's progress would be helpful.
