GenesisIntermedia.com's Board of Directors Approves 3-for-1 Stock Split, Proposes Change of Corporate Name

LOS ANGELES, Feb 15, 2001 /PRNewswire via COMTEX/ -- GenesisIntermedia.com, Inc. (Nasdaq: GENI chart, msgs) (Frankfurt Stock Exchange:GIA) announced that its Board of Directors approved a 3-for-1 stock split of its common stock. The 3-for-1 stock split will be effected as a stock dividend payable on or about March 21, 2001 to shareholders of record at the close of business March 7.

The Board of Directors also approved a change of the Company's corporate title to GenesisIntermedia, Inc. The Company's majority shareholders have indicated their intent to approve the name change, which requires the consent of a majority of the outstanding shares of the Company's common stock. The Company expects to receive the written consent of holders of a majority of the outstanding shares of the Company's common stock in the near future. The name change is expected to become effective in April of 2001. The Company's common stock will continue to trade under the symbol "GENI" on the Nasdaq system.

The Company's transfer agent will forward a letter of transmittal to the Company's shareholders of record relating to the exchange of certificates that will bear the new corporate name.

(Nasdaq: GENI chart, msgs) (Frankfurt:GIA) today reminds its shareholders and the public that its 3-for-1 stock split, which the Company announced on Feb. 15, 2001, has taken effect and is reflected in the price of the Company's stock starting today, March 22, 2001.
