gee, you guys are SO EASY! <G> while i think the wording is poor, i certainly don't think it was meant the way it actually came out... but, isn't that what attorneys are for?

In English I believe "OR" can also mean that the same as "AND" does mathematically and take the inclusive rather than the exclusive meaning and I think that is what was intended, namely number 1)

In other words the conditions for distribution "could" include any "one" of the following.

1) MRV board of directors conclude that distribution is in the best interest of MRV AND MRV stockholders.

2) MRV board of directors conclude that distribution is in the best interest of MRV.

3) MRV board of directors conclude that distribution is in the best interest of stockholders.

As I said I think number 1) was what was intended. Idle minds,
