Epiq Systems files to offer 1.5 mln shares

WASHINGTON, May 22 (Reuters) - Epiq Systems Inc. (Nasdaq:EPIQ - news), which develops software for the bankruptcy and financial services markets, filed on Tuesday with the Securities and Exchange Commission to offer 1.5 million common shares. The company, based in Kansas City, Kansas, plans to sell 1.025 million shares while its chairman, Tom Olofson, and president, Christopher Olofson, collectively hope to sell the other 475,000 shares, the filing said.

Tom Olofson, 59, is the father of Christopher Olofson, 31, according to the filing. He is offering 420,000 shares and his son is offering 55,000 shares.

Epiq plans to use the net proceeds from the shares it sells for new product development, sales and marketing expansion, general corporate purposes and potential acquisitions. It will not get any of the money from the shares sold by its executives. Epiq will have about 9.5 million shares outstanding when the offering is completed. Its stock closed on Monday at $32.20 on Nasdaq.
