A merger is the corporate equivalent of a marriage, and its just as huge a change. One can debate what motivated the action, but every merger involves significant amounts of logistics which press releases tend to gloss over. For two small companies you can bet that these logistics will prove no small distraction for senior management at both companies over the next few quarters. Hence the market's reaction is to take a wait-and-see attitude until the situation clarifies itself. This is the essence of opportunity cost.

Do you really feel this merger would be considered a change of direction? Aren't they just filling a void Cash/Consulting-Marketing?

I don't really know what the intention of the merger is. The absence of evidence on this is itself a source of confusion.

Since the company changes direction frequently apparently on a whim, one would have to suspect that a merger would be the catalyst for another change of direction.
