They should have changed the policy and exempted founders of the company.

The proxy statement says Arthur Rock was already a Director Emeritus and Gordon Moore will be appointed one at the next board meeting. Emeriti are elected by the board and are invited to attend board meetings. So both Moore & Rock can participate in board discussions just as they have from Day 1, but they don't get to vote or be compensated (and they are billionaires already).

Gordon Moore will remain as Director and Chairman emeritus so Intel will continue to receive the benefit of his wisdom.
