Any Shareholders amongst us? I'd urge you to favorably consider the shareholder proposal (#4) on the proxy statement for the July 10, 2001 annual meeting. The proposal if adopted would require the company attain shareholder approval before reducing the exercise price of options or warrants given to executive officers or directors, or before extending the expiration date of such options or warrants. Those who've been following for a while know the dismal performance history of the stock price over the past six years -- yet executive compensation reflects no consequence for failure to achieve results.

This proposal would promote Board accountability to the shareholders -- it's gained tremendous momentum on some of the more lively NCTI discussion boards. Your vote helps send a message the Board might heed, even if the proposal itself should fail.
