Optical Crossing has three different internal product groups.

Optical Crossing designs, develops and manufactures state-of-the-art
fiberoptic communication components and systems for the
telecommunications industry. Optical Crossing is a technology
investment partner and part of the MRV Communications (Nasdaq:
MRVC) family of optical technology and network infrastructure companies.

The Company's core expertise is in free-space laser communications and
semiconductor optoelectronic components. Our in-house capability to
develop and manufacture optoelectronic components customized for
optical wireless provides a significant advantage over other optical
wireless companies. Optical Crossing has three internal product groups -
Optoelectronic Products, Optical Wireless Products, and Networking
Products and Services - that address all aspects of optical wireless from
components to architectural implementation for all-optical networks.

The Optoelectronic Products Group just introduced its first product - a
semiconductor optical amplifier (SOA) module capable of 20 dB
polarization insensitive gain. This year, Optical Crossing will introduce
several SOA-based products such as switches and optical add/drop
multiplexers (OADM). The Optoelectronics Products Group is already
working on integrating semiconductor optical amplifiers to make third
generation photonic switches as well as providing key technologies and
components to the Optical Wireless Products Group.

The Optical Wireless Products Group concentrates its effort on developing
optical wireless solutions for the "first and last mile" - i.e. linking the
network backbone and premises networks. Our clear understanding of the
technical challenges, particularly atmospheric issues, has allowed Optical
Crossing to develop customized hardware for optimum link performance.
The Optical Wireless Products Group just introduced the OptiBridgeâ„¢
2500 - the industry's first free-space optical transceiver capable of 2.5
Gbps over 2 km. The Optical Wireless Products Group is already working
on 10 Gbps wireless transceivers for the next generation of Ethernet
networks.

The Networking Products and Services Group focuses on effective and
novel implementations of networking architectures to meet the demands
of the telecommunications industry. The objective of this effort is to
combine optical wireless, RF wireless, and optical fiber to arrive at
networking solutions that provide end-users with high throughput and
reliability at a reasonable cost.

The market for optical wireless is expected to be over $2 billion by 2005
and the market for SOA-based components is expected to be over $600
million by 2006. Optical Crossing is strongly positioned to be a major
player in these markets this year.

Optical Crossing's management team has extensive experience in
free-space optical communications and optoelectronic components
working with NASA's Jet Propulsion Laboratory (JPL). In its first year,
Optical Crossing has assembled a highly talented group of professionals
that include RF, semiconductor, optical, and mechanical engineers. Over
one third of Optical Crossing's current staff of engineers and scientists are
Ph.D.'s with extensive experience at national research labs and high-tech
companies.

Located in the greater Los Angeles area, Optical Crossing's current
facilities include a well-equipped laboratory with state of the art test and
measurement equipment. Expansion is in the works with a new 30,000
sq. ft. facility with clean rooms and manufacturing capabilities.

<<This company needs to be merged with Optical Access to make the IPO a more impressive company>>

That would make sense to me BUT could they do that with MRV owning "only" 60% of Optical Crossing?
