Arthur, I and probably a lot of other people are quite confused about the state of the Arris deal right now. The press release from Nortel was not clear at all on this point. I was hoping you could shed some light on it.

No doubt the legal papers are ready to go, the shareholder meetings are set to vote and everything is in place for the original deal to happen as planned. Nortel would exchange their share of the Arris JV for shares in the "new Arris" company (which would then consist of the "old Arris" and "old ANTEC". Then NT would have about a 49% ownership share of the new company.

But then NT comes along with their press release saying they are looking to divest their ownership share in Arris. Do they mean divest ownership in the "old Arris JV" by going through with the stock deal (in which case this is really no news at all) or that they will look to back out of the deal before it happens? Or maybe that they go through with the deal as planned and then look to sell or otherwise divest themselves of the 49% ownership stake in the "new Arris" after the fact (thereby at least not creating major chaos for setting up the "new Arris" just as it is about to be created)?

Do you see where the confusion comes from? Which flavor of divestiture are they pursuing? I must agree with you that just because there is confusion is no reason to downgrade the existing ANTC stock.

Any information or insights you may have as to what the NT plans are that would clear this up any I think would be greatly appreciated by everyone here.
