Mark, Looks like a "floorless" to me...after a cursory look at what you posted: "or the average of the five lowest consecutive closing prices of the common stock for the 22 days preceding the conversion date" That's the dispositive language, and a death spiral is a common outcome. See Zeev's patented term for these, "floorless bandits", because it is what normally occurs as the success stories resulting from these financing instruments are few.....and........far......between. Zeev knows these better than anyone on SI, but this looks like a classic version. You playing "Steamroller" in the set? midnite
