Well Jim, if you ask me ....

The time to analyze SEC filings and press releases was back on the 14th/15th when IFTP said they were going after bashers.

Now it's kind of late, unless you have any plans for buying and holding for any length of time, which I doubt you do.

Well, I do. But a few minutes of thinking let me realize that the ENP part is not complicated except that I don't know where there's 1,380,000 post reverse-split shares of ENP coming from. They start with a reverse of 18.55 to 1 bringing they s/o to 1,000,000 flat. Then after they distribute share of the subsidiary to the ENP shareholders. After, they issue 13.1E6 shares to Infotopia Nevada. That brings the total oustanding to 14.1E6 shares. Well ok, that's 13.1E6 units but they translate into 1 common share each, plus the warrants who will be used later.

The 1,380,000 shares I stated earlier is just the difference of 15,480,000 minus the 13.1E6 issued and the milion they end up with after their 18.55 to 1 reverse split.

It could be that their s/o before the reverse split is more that 18.55E6 shares but then why would they choose and odd number like 18.55 for the reverse?

Since Infotopia Ohio is a subsidiary of Infotopia Nevada, Infotopia Nevada will hold 85.1% of ENP from selling Infotopia Ohio.

As for the 3.22 units of ENP each share of IFTA entitles to, it's of course just the 13.1E6 shares issued divided by the new 4,063,000 outstanding of IFTA.

The warrants will then raise the outstanding by (.5 + .25 ) x 13.1E6 = 9,825,000 shares, right? Since you need 2 warrants of the first type to buy 1 full share of common and 4 warrants of the second type to buy another share of common.

Makes any sense? That's the way I see it. Anyone else?
