SAP is investing an additional $225m in Commerce One, in which it already has a small stake. The transaction will be
completed by August at the latest and SAP's stake in Commerce One will rise to 20%. SAP will send a representative to
Commerce One's board and has received certain registration rights and pro-rata rights to buy additional Commerce One shares
in the future. We see this as a prelude to an eventual full takeover of Commerce One by SAP. The timing of the deal is
advantageous because Commerce One's share price is near its all-time low. It has just warned that second-quarter revenues will
be below analyst expectations.

Looks like SAP is preparing to take over Commerce One.

I doubt they will. See the following quote:

SAP said the terms of the deal limited it from increasing its stake past 23 percent and a spokesman noted that SAP co-Chief Executive Hasso Plattner had repeatedly said he was not interested in a full acquisition of Commerce One.
