I don't think Dr. J. wants to have a big company and wants to return to a small, R&D house. No other reasons I can see.

Hey if Spinco keeps Dr J running the "core" company for a few years more, it is well worth it.

Chips are a means to an end.

Spinco is not essential to what Qualcomm will be in the future.

A moneymaker sure, but marginal.

The spin off keeps Dr J's attention on CDMA per se.

That presumes that there are no more negotiations to be done in the next 20 years. And the spin-off is not just about negotiating with customers. It's also about separating the two business models to maximize shareholder value by separating the higher-margin model from the lower-margin model. And it's also about strengthening Qualcomm's value chain by creating another independent customer that can strengthen its own value chain more as an independent company than as an in-house division.

Steve Altman is the brain child behind the CDMA royalty deals and IMHO is the most underrated executive at QCOM. Thanks to Steve and his team for all their hard work and patience in dealing with NOK.

Not really. Nokia is not the only company that may have wanted to x-license with QCOM. In fact any semiconductor company having nothing to do with cdma or gsm may find out one day that some part of the MSM or CSM infringes on their patents. I'm sure Q would like to limit their exposure to such cases and allow Spinco to just x-license its patents without affecting the royalty rates.
