I don't want to belabor this. But in most cases, wouldn't an analyst be aware that they were going to downgrade a stock before the five day limit? And wouldn't it be a logical thing to do to sell the stock in question, as their opinion became more negative.

The other question that is always in the back of my mind is if the very large clients get a sneak preview of a firms ratings changes.

To be honest, I think it's becoming less and less of an issue, as downgrades/upgrades seem to have less lasting effect on a stocks price.
