Portugal Telecom Registers Telesp Bid With Regulators

LISBON -(Dow Jones)- Portugal Telecom SGPS SA (PT) said Tuesday that it has filed documents relating to its offer to acquire the outstanding shares of Brazilian mobile operator Telesp Celular Participacoes SA (TCP) with the U.S. Securities Exchange Commission and Brazil's market regulator, CVM.

Portugal Telecom said in a statement: "Upon completion of the review and approval of both the SEC and the CVM, and as soon as practicably thereafter, PT will be in a position to commence its respective offers in the U.S. and Brazil and to proceed in Brazil with the listing of PT's shares on the Bovespa in the form of Brazilian depositary receipts."

Portugal Telecom has called an extraordinary meeting of shareholders August 20 to approve the issuance of EUR253.3 million in new Portugal Telecom shares which will be swapped for Telesp shares.

The offer for Telesp was unveiled in May.
