I sold this a long time ago, and considering that this has been going on for over two years now, time already has proven who is wrong if not exactly who is right. You have been proven wrong. I remember when back in 1999 you were saying that everything was in place and you were telling people to buy when the stock was at .70, and now when it is at .02 you are still saying you know you will be proven right. Have you no humility, have no shame? Why should anyone listen to you?

Sammy, what's vile & grotesque about your posts is they have a giant aura of "someone in the know" (for example, by references to "your sources") and by legal details (such as the claim that TRKR may obtain a "summary judgment" in its lawsuit with TUMI) --- and it's all hoooey. The facts are wrong and the analysis is comical -- or would be, if it hadn't influenced some to buy stock.

And when you're caught in falsehood after falsehood, you never back down an inch -- the ol' "big lie" technique by which the more outrageous you are and the more consistent, the more people may believe you. Against such behavior, your cautious "do your own DD" adviso should not save you.

Remember 18 months ago? And your prediction of $20 million "conservatively" per year following the Florida "roll-out"? I figured out then TRKR had nothing in Florida or elsewhere, and said so... And how much money has TRKR made during those 18 months from ANY source? A grand total of N A D A....

But you keep singing the same song. This doesn't necessarily mean you're in a dream world or con-man.... my theory is you've fallen into a space-time vortex. Tricky stuff. Must get lonely in there sometimes...

ITEM 5: OTHER EVENTS
The Tracker Corporation of America has ceased operations due to a shortfall in funding and inability to meet supplier payment obligations. Jay Stulberg, Director, explained "On December 19, 2001 the Company announced that it had executed subscription agreements for the issuance of $150,000 in convertible debentures with a European investor Group and began negotiations on an Equity Credit Line. At the time of the Company's announcement the Group had already advanced $50,000 under the terms of the agreement. At the end of December, the Group advised that, due to a sudden lack of liquidity, there would be a delay in the third tranche of the funding promised. During January 2002 Tracker made every effort to secure this funding from the Group and pursued other avenues of short term financing that would enable the Company to meet short-term obligations. Unfortunately, due to the limited time the Company was afforded to find alternate means, and inflexibility from key suppliers on amounts overdue, the Company was forced to suspend operations indefinitely".

Tracker also reached an out of court settlement with Tumi, a N.J. based manufacturer of luggage & accessories. Tracker had initiated a legal action claiming patent infringement and misappropriation of information in the Province of Ontario, Canada. Tracker agreed to drop the suit in return for Tumi agreeing to pay all legal costs incurred by Tracker.

Carl Corcoran and Joseph Greenberg resigned as directors of Tracker on February 15, 2002. Jay Stulberg resigned as President and CFO, on February 15, 2002.
