Larry is in over his capabilities and as a result the company is being mismanaged. Until last week I was a corporate officer and in my professional capacities I watched a man I have known for over fifteen years bully, mismanage and in my opinion misinform the shareholders. The product is very, very, good but not properly tested or prepared for mass marketing. The delivery system needs to be modified and properly designed for production by engineers. Dr Rajalingam has done an excellent job but has been forced to work well outside his expertise as a chemist. Larry's ego gets in the way of good business practice, his ignorance of business law and self serving public statements hurt the company. I have witnessed, in my opinion, flagrant violations of law by Larry and feel that for the protection of the shareholders and the company it is time for him to resign.

It is very sad. The individual "FL Truth" was fired last Saturday and is simply a very disgruntled ex-employee. He does not know Larry for 15 years. He met Larry 15 years ago and they both worked at the same concern(he was fired after 8 months at that firm) and Larry has had absolutely no contact with him for the past 15 years. I will not get into why he was fired - suffice it to say he was fired for cause.

Cooper Roofing has already sprayed over 100,000 square feet of roof and systems 2 and 3 will begin to spray in Southern Fl. next week. All 5 will be completed by the first week in December. Is system 3 a tad better than system 1? Yes! Folks you aint seen nothing yet! I will continue to update all of you as best I can.

If the employee was terminated for cause than Larry would not have signed a consulting contract with the "ex"employee or received a resignation letter. I stand by my opinion that Larry is in over his head and is misinforming the share holders.

Everybody needs to chill out. The individual that was released, worked for Urec for about 3 months. As soon as Larry found out he was saying things detrimental to the company, he was gone. I asked if the guy "harmed" Urec in any way and the answer was no. End of story.

I know who fl_truth is & why he was fired.His name is Warren Medoff & he was a very insignificant part of management.He was using a corporate computer for extremely inappropriate personal reasons which was totally not in keeping with urecoats high standards. Also, this was not just an L.C.decision. R.K. made the final decision. As a fellow investor with a very large stake in urecoats, I would advise all of you to ignore the posting of a disgruntled employee & keep the optimism & patience that most of you have displayed & we wiil all be very handsomely rewarded.

I want to apologize to Larry Clemons and my fellow share holders for some remarks that I made last week in regards to Larry and the company. Suffice it be said that Larry was not the cause of my concern or anger. In fact Larry and I had the pleasure of sitting down yesterday to a most agreeable and informative one on one chat. I am quite pleased with the direction and method that Larry is taking our company in. I am even more confident in the future of Urecoats than I had been when I first purchased shares in it. My opinion is that the shares and the company are vastly underrated and that now is the time to buy. I am an environmentalist, as such the ecological effects of the product, Urecoats 100 RSM, is very important to me. It appears that our product may be one of the most ecologically friendly products to come along in the last century. In fact it may be completely compatable with drinking water and its positive effects on mankind may make it one of the most significant inventions of the twenty first century. We all need to support Larry and the company at this time to insure that the full benefits of the product are attained.

I spoke with Larry..
at length yesterday. He really has quite a vision for this company. I don't really think I realized to what degree until yesterday. Here's a summary of things we discussed:
1. Warren(the dismissed employee)had originally been hired to handle sales and marketing. His retraction on RB the other day was prompted by the fact that Larry considered litigation against him because of the inflamatory nature of his post. Without being specific, LC handled this situation with integrity,concern and fairness. CASE CLOSED.

I was distressed when I went to the Pompano Offices this morning to do some routine business on the first business day of the New Year and found that no employees were at any of the company locations, the offices were locked and dark. Based on the positively dismal performance of our stock and company over the past quarter I called Richard Kurtz's offices to see if they had any information. Initially they did not know of any reason for the closure. After a brief time they called back to inform me that all of the employees had been given a four day holiday. This with our stock having gone down over sixty percent in the last quarter alone. What is going on?

To the Friscokid. I was not only an employee of the company, my official title was Executive VP of Marketing & Business Development. Should you like some real insight as to why this product has such good potential feel free to contact me. On a professional basis I find not one reason to waiver as to my belief in the product and the corporate potential. It is my personal opinion that Richard Kurtz is taking prudent action to move the company forward into profitability. Michael Adams once said to me that everything will happen in due time. His perspective was based on being with the company longer than anyone else and it was a good perspective. Market penetration is now occuring and a cash flow has been established. Rapid expansion can only occur with a proper foundation being placed. To an outsider that was once an insider that foundation is now being built. The recommendation to buy shares is a very good one at this time, I comfortably recommend to anyone that can purchase NOW!

Competition! Only a fool would think that Urecoats is without competition. Four similar products and delivery systems were patented and are working in England in the fourth quarter of 2000 alone. As I discussed on several occasions with RK last year, there is a limited window of opportunity for our company to get into the market and lead the pack. Hopefully, the new COO, a proven executive in the ROOFING industry, will provide the leadership and guidance for the firm to penetrate and move forward in this "foundation" niche market. You have to crawl before yu walk, walk before you run, and run before you fly. Egos are no longer a factor at Urecoats, sound business and marketing principals have been put in place by the Chairman of the Board. We can expect strong, rapid, and positive momentum from the company. Look for the first quarter financials of this year to propel the company. The roofing industry requires that a new product be proven in actual commercial application before it is accepted or even approved for general use throughout the US and Canada. This process can take up to three years, for example, in some areas and the test sites have not yet even been selected. Initial test applications in New Jersey and Florida provided excellent results. Time is required for long term analysis of our product in the real world. The national head of sales for Owens Corning Asphalt Products Division, recently discussed the market with me and he stated, "that only the strength of the company and ITS WARRANTY is what the market looks at, not how good the product is." The company is doing what is right and important at this time, establishing a sound cash flow to support warranty and product claims as it grows. Richard kurtz is completely committed to making this company success and he has put his money where his mouth is. TO the detractors of the Product that want to sow seeds of doubt on this board. GO AWAY! We as investors accepted the high risk of this investment as the company moves out of R & D into commercial operations.

Bessie, fact is that I have not recieved one share from my employment, not one single share, however I do own a substantial amount, purchased with my own money both before and after I was with the company. I originally purchased based on what Larry Clemons told me where events that were about to happen with the company. I have recently purchased more stock because I believe in the products potential and am encouraged by recent management changes. I did not purchase any shares during my tenure as an employee, though I did encourage others to purchase.

There comes a point in time when even diehard investors suddenly realize the so-called bashers have been right all along-- that leopards (the people who run these companies behind the scenes with a history of, ummm, problems) don't change their spots. I note that time has come for Urecoats.

Urecoats, for the most part, has been funded by their Chairman, Richard Kurtz. It's one of those deals where he funds the company, repays himself via shares, funds again, etc. He's then portrayed as a hero for using his own money to keep the company afloat. This is from their latest filing:

Subject to your approval, implementation of the proposed consolidation of shares resulting from the one-for-ten reverse-stock split and reduction of authorized common stock and full implementation of the issuance of shares of common stock to owners of Series B and Series C Preferred Stock (inclusive of the possible exercise of the Series C Preferred Option held by Mr. Kurtz) on conversion, to executives pursuant to the employment agreements and the compensation and incentive plans proposed to be voted upon by you (Proposals 3 through 7 hereof) will result in a total of 22,008,336 post-split (new) shares of common stock outstanding, of which a total of 11,634,284 shares (52.86%) will be issued and outstanding and issuable to executive officers and directors.

The proposal seeks a one-for-ten reverse split, and to reduce the common stock capitalization limit from 140 million shares to 25 million. Obviously a tenth of 140 is 14 not 25, so, in essence, that's like increasing the current limit to 250 million, with a whopping 220 million outstanding, the majority by management (and the vast majority of those by Kurtz).

Here's the part of the filing I like best, though (you keep believing it, we'll keep writing it):

Based on all of the foregoing reasons, we determined that a reverse split and consolidation of our shares of common stock would enable us to apply for the listing of our securities on the American Stock Exchange or other Exchanges by enabling us to satisfy the price criteria customarily required by said Exchanges. We have already filed an application to become listed on the American Stock Exchange, which is subject to meeting its listing requirements. In addition, our business circumstances and consolidation of shares (and new price for the shares) will make investment in our Company's securities eligible and available to institutional investors and others which are currently disinclined to invest due to our current expansive capitalization and price structure. Furthermore, the consolidation of our outstanding shares should permit us to fund our present operations more efficiently both privately and publicly and thereby serve the Company's interests and those of its shareholders.

UREC now trades at .40 a share.
