YOUR MAXIMUM RETURN IS EFFECTIVELY LIMITED BY LEHMAN BROTHERS HOLDINGS'
ABILITY TO REDEEM THE NOTES. Lehman Brothers Holdings may redeem all of
the notes at any time beginning , 2002 to and including the stated
maturity date. In the event that Lehman Brothers Holdings elects to call
the notes for redemption, you will receive only the redemption price and
any accrued but unpaid interest to and including the redemption date, and
you will not be entitled to receive the amount otherwise payable at stated
maturity. Because of this feature, you should not expect to obtain a total
annualized yield of more than between 25% and 30% on the original issue
price.
