I tend to agree with your conclusion, but TER might do a preemptive to keep AMAT out of their backyard....not that AMAT's acquisition would imply doom other than expanding its offering with the gorilla logo.

Unless you're out of cash, at this point in the cycle, any acquisiton will yield a nice premium.
