TORONTO, Nov 1, 2001 /PRNewswire via COMTEX/ -- ThermoElastic Technologies,
Inc. (OTC Bulletin Board: TMRO) announces the acquisition of an 70% interest in
the privately held telecommunications company, Smartnet International, Inc. in
an all stock transaction with a commitment for future funding.

Florida-based Smartnet operates its own links with Moscow, 22 other cities in
Russia, Riyadh and Saudi Arabia, is developing its own domestic and
international networks, has a presence in the major international communications
centers of Hong Kong, New York and London and is a reseller of long distance
telecommunication services to high volume long distance corporate users,
wholesalers and phone card operators. It will retain its current management and
operate as a subsidiary of TMRO. Smartnet currently has long distance contracts
with the following long distance users and providers: Unilink, VCI, Canquest,
Globe Line, NEF, Line Communications, Omega Point, Oleg Russia.
