I’m not sure what happens in the case you don't sell. Don't forget TWE was trading at $6 and change when they made the offer for $9. Apparently that was raised to $9.50 because some big institutional shareholder insisted on more. I think if Waterhouse can get enough shares tendered to them they can leave you out to dry - The stock would no longer trade publicly and they need not report or pay dividends to you. In actual practice I think they would want to buy all the shares but it is unlikely they would pay more to “hold-outs.” In any case if their offer goes away the stock may sink back to $6+.

Does anyone know for sure?

If you "do not tender" then you MAY or may not get compensated. Best idea is to call and tender your option - only goes through if TD buys out TWE.
