Don't bother. He doesn't want to know because then he loses the ax. In another state you would find far fewer corporations formed by small groups or individuals. There is little advantage in incorporating unless your revenues are $1 M/yr. S invites a lot of trouble. I'd guess that most of those who formed one made a mistake, but you could never get them to admit it. The reason is that there's not a financial difference in S or in these forms in general that makes a difference. They depend upon extrapolations which always are found to be ridiculous later.
