Draw Strategy with Acqua private placement, really an equity line of credit.

I regret I didn't post it then but I believe REK should have taken as large a sum of money from the equity draw at the beginning. Place just enough shares to Acqua so mathematically it doesn't trigger the magic '20% ownership' shareholder rights threshhold. I base my opinion based on what I observed from BRA's case, their then stock price and their equity line of credit.

Also, with a large draw, there would not be enough time, in 20 days to fully hedge (or whatever degrees of hedging). Acqua would be preceived as an important large institutional investor. Again IMHO.

REK did mention other companies "Grabbed" while DMX will draw only what it needed.

If they grabbed a handful of cash at the start, there would be no perception that DMX is strapped for cash for the next x years at y burn rate, as is the current view. The survival view would not be speculated now. The share price reflects this.

A second point, now with a lower price (than earlier in the year when Acqua appeared), it is now impossible to grab the remaining $40mm without triggering the shareholders rights plan.

Available $40mm divided by, say, $4.00 per share = 10mm shares or about 23% of shares o/s.

ACQUA/OT: I am doing some DD on ARIAD PHARMA (ARIA). I noted that back in June 2000 they entered an $75mill Equity Financing facility with Acqua. In this case, Acqua bought stock at $12 in Oct 2000.
The most recent quarterly report by ARIA shows that they sold more shares to Acqua, , in June 2001, at $5.42. The stock dropped to the $3 range. The latest announcement Nov 5, is that ARIA has identified compounds that block the growth of cancer cells. That news sent the stock price up 40% to $4.40.
All of this is just to say that there does not appear to be a great conspiracy, to rob us of our hard earned cash, Acqua appears not to be a "vulture fund" as it was previously called (probably at Stockhouse?). And, stockholders of other companies also have their ups and downs, just like we do. Fox.
