SEC Thailand Filed Criminal Complaint against 3 Offenders for Conducting
Unlicensed Securities Businesses and Engaging in Fraudulent Activities

On October 19, 2001, the Securities and Exchange Commission, Thailand (SEC
Thailand) has filed criminal complaint against International Asset Management
Co., Ltd. (IAM) and 2 executives of IAM - Mr. Dan Sterk and Mr. Stephen
Robert Casciola - on the ground that they conspired to conduct unlicensed
securities businesses in Thailand and engaged in fraudulent activities
against foreign investors.
Following the raid on August 7, 2001 and further investigation of documents
seized from IAM including information and evidences received from foreign
complainants, the SEC Thailand found that IAM has operated securities
businesses without having licenses and has fraudulently acted against foreign
investors. In this connection, IAM has used Thailand as a base to make
telephone contacts to induce foreign investors into making investment in
another overseas market and commission fees were charged to those investors.
Later on, foreign investors have experienced either difficulties in getting
their money back or that no further contacts could be made with the entity
concerned. Evidences indicated that IAM has frequently changed its places of
business and attempted to conceal its business operations by renting virtual
office to avoid direct contacts from investors. Moreover, IAM has also
created false understanding about the prices of securities that has been
offered or sold to foreign investors by referring to th
e prices that are quoted in the Bloomberg's website. In fact, securities
offered or sold to those foreign investors are deemed to be "restricted
securities" which have resale limitations. As such, they have no liquidity
and are not the same issues as those non-restricted securities reported in
they and Bloomberg's website. The prices of restricted securities may be
lowery and than those of non-restricted securities as investors were led to
bey andlieve. In this regard, such actions are considered to be a fraudulent
ay andct.

In case of Mr. Dan Sterk and Mr. Stephen Robert Casciola, they are the
incorporators of IAM, and directors who have authorities to operate IAM and
control IAM accounts. In this regard, they are considered to jointly commit
such offenses with IAM.

As such, the SEC Thailand has filed criminal complaint against these 3
offenders on the conspiracy of operating securities businesses in Thailand
without having licenses and engaging in fraudulent activities with the Office
of the Economic Crime Investigation Division of the Royal Thai Police for
further investigation. Such aforementioned activities are in contravention of
Section 90 of the Securities and Exchange Act B.E. 2535 with Section 83 of
the Penal Code, and Section 343 of the Penal Code with Section 83 of the
Penal Code.

Until the appointment of a receiver, Danny Sterk was chief
executive officer of TransAmerica and a principal of ITC. On
November 28, 1995, a permanent injunction was entered against
Sterk in SEC v. Danny Sterk et al., Civil Action No. 94-6805-CIV-
Gonzalez, in the United States District Court for the Southern

Litigation Release No. 14909 / May 13, 1996

SEC v. Dan Stuart, (S.D. Fl., Civil Action No. 96-6425-CIV-ZLOCH,
filed May 2, 1996).

The Commission announced that on May 2, 1996, the Honorable
William J. Zloch, United States District Judge for the Southern
District of Florida, entered a permanent injunction enjoining Dan
Stuart ("Stuart") from violating Sections 5(a), 5(c) and 17(a) of
the Securities Act of 1933, and Section 10(b) of the Securities
Exchange Act of 1934 and Rule 10b-5, thereunder.

The defendant consented to the relief without admitting or
denying the allegations set forth in a complaint previously filed
by the Commission on April 22, 1996. The Court further ordered
Stuart to pay disgorgement in the amount of $735,000, including
pre-judgment interest. The Court waived payment of all but
$225,000 of the disgorgement and declined to impose civil
penalties based upon sworn representations by Stuart concerning
his inability to pay the additional sum.

In its complaint, the Commission alleged that Dan Stuart, in
his capacity as president of TransAmerica Wireless Systems, Inc.
("TransAmerica"), directed the use of television infomercials,
mailings and telephone boiler rooms to sell interests in general
partnerships purportedly formed to develop multi-channel
microwave distribution service ("MMDS") "wireless" television

systems, also known as microwave pay television and wireless
cable television. Partnership interests were sold through
TransAmerica, a Florida-based corporation, formerly located in
Fort Lauderdale, and Intercontinental Telecommunications
Corporation ("ITC"), a Florida corporation, formed by the
principals of TransAmerica. Each corporation is currently under
the control of a receiver.

The Commission alleges that agents of TransAmerica and ITC,
acting at the direction of Stuart and other principals,
misrepresented or failed to disclose material facts in connection
with the sales. Among other misrepresentations, TransAmerica and
ITC claimed to be negotiating for FCC licenses when, in fact, no
such negotiations were taking place. Predictions were also made
to the investors of the exorbitant profits to be made, when, in
fact, there was no reasonable basis for the projections.

Until the appointment of a receiver, Danny Sterk was chief
executive officer of TransAmerica and a principal of ITC. On
November 28, 1995, a permanent injunction was entered against

HMC & Kevin Lawrence filed a frivolous defamation lawsuit against "John Doe and Jane Doe" aka thinkforyourself_2000 (me) and jplossi. Case number is 01-2-24299-7SEA (Superior Court of Washington for King County).

They mistakenly claimed that jplossi and I are husband and wife and/or ex-employees of the company. The suit was filed by a Washington attorney named Brad Steiner of Steiner Norris PLLC. When I fought this ridiculous lawsuit, Steiner referred my attorney to David Bray in Arizona. They never responded to the numerous attempts by my attorney to contact them.

Essentially, their claim was that in my post number 2005 (on this board), I supposedly claimed that the company had threatened investors (which I did not). The exact excerpt from my post reads:
"7. Investors have been threatened with both legal action and bodily harm for criticizing the company and the wisdom of the investment. Rellie's HMC Discussion Group board was abandoned and all posts deleted as a concession to these threats. If anyone would like examples of the threats, I can pull them from posts on this Yahoo board. The threats from Rellie's old board are now gone."

Clearly, I was referring to posts made on internet message boards with no specific reference to employees/officers as the offending parties. However, since the SEC action, some investors have related to me stories of being threatened by company representatives, indeed by Kevin Lawrence himself. One of them even says he has a recording of threatening messages from Lawrence himself. Fancy that.

The end result was that I fought; then ran. I would not stand idly by while they attempted to use the legal system to thwart the discussion of factual information.

Perhaps this will serve to help certain people understand my harsh feelings toward the defendants.

I'd like to clarify that I am not married to T4Y nor am I a "Jane Doe" , hehe

I am also not am ex-employee of any of these so called, HMC/Znetix company's.

Bottom line is Kevin Lawrence is such a fucking idiot that while he was trying to sue T4Y and myself, he was also bragging about the Znetix IPO, Numerous properties, and showing me his latest and greatest car (yes, showing me personally) Some visionary genius. Doesn't even have a clue who he is talking to most of the time.

If anyone ever talked directly to him they know, he sounds just like a broken record.
