Cadence Buying SPC

Synopsys says Cadence

No. 1 chip and board design software supplier, San Jose-based Cadence Design Systems Inc., said last Thursday that it has signed a definitive agreement to acquire Silicon Perspective Corp. (SPC), a privately held design technology company with headquarters in neighboring Santa Clara, Calif.


Lavi Lev said that SPC will receive only Cadence stock and not cash in the deal.
Lavi Lev, senior VP and GM for the Cadence IC Solutions business, said the deal would be an all-stock transaction. The two companies declined to comment further on the financial particulars.

One long-time industry watcher, though, said that SPC was on track to book about $18 million in sales, mostly as one-year subscription deals. Sources suggest that the transaction's base value is about $150 million with R&D and sales incentives driving the valuation as high at $300 million.
