The memo defines the July deal as the "Equity Line". The request for 12 million shares is to satisfy the Equity Line PP. It is not a new set of shares to be issued in addition to the July deal.

What seems to have changed, is that Manchester have somehow obtained a right of first refusal on the issue of these shares; how they stepped in front of the Rosegroup(whatever they are called) could use an explaination. Maybe they acquired the right from the other group? I would like an answer on that one.
