The deal fell apart for one reason ONLY - the DOJ opposed the purchase and vowed to fight it in court.

After having just ended a 3 year FTC/DOJ ordeal (1993 - 1996) Microsoft walked away from the deal, avoiding a nasty drwan out legal battle with the DOJ.
