I'm missing a logic step or something in trying to understand this paragraph. Wouldn't the banks be perfectly happy to have it succeed _under their ownership_ ?

Fraud from the standpoint of the auditors intentionally failing to disclose information that should have been disclosed, while accepting fat fees in return for these services.
