I believe AThm has to go bankrupt or T would have the debt.

Owner's Equity = Assets – Liabilities

Since ATHM is no longer a going concern, Shareholders Equity equals (or will) Owner's Equity. Be thankful you won't receive a bill.

Total shares would only cost $8M

What a deal! Then T would own all of ATHM!!

Let's see...for only 8 million dollars ATT would acquire a billion dollars worth of debt plus all the dead end real estate contracts plus.........

It's like saying "If you send me a check for $1,000 I will send you a bill for $100,000". What a deal.
