NS, I believe they must first see that their future financial statements are filed in a timely manner & are fully compliant with SEC requirements.

Unless there is an exception made, NASD rules require 3 years of audited statements. Since the fiscal year was changed to June 30 and audited statements were not certified for the immediately prior periods, (on Pete Pappas's watch) then VARL would not meet listing requirements until Fall of 03.
