S Africa Harmony In ZAR1.33 Billion Bid For Australia's Hill 50

JOHANNESBURG -(Dow Jones)- South Africa's Harmony Gold Mining Co. Ltd.

(HGMCY) said Monday that it has made a takeover offer worth 1.33 billion rand
($1=ZAR11.0855) for Australia's Hill 50 Ltd., a midcap gold producer.

Harmony said in a statement that the cash offer was A$1.35 for each Hill 50
ordinary share and A$0.65 for each listed option. In addition, Harmony said it
will pay an extra A$0.05 for each ordinary share and each listed option if its
offer is accepted by 90% of Hill 50 shareholders.

This makes the potential offer worth a total of $1.40 a share and A$0.70 an
option, Harmony said.

The South African producer said the directors of Hill 50 intend to recommend
Harmony's offer to its shareholders.
