"Could you help me on the pro's and con's of a shelf
registration as opposed to a straight out underwriter
deal for the shares being issued all at once. "

No I really can't. I would be guessing. Your statement
sounds good to me.
NBIX announced their shelf on 11.13, their preliminary prospectus on 11.27,
and priced it on 12.3. Sepracor did theirs in a one night deal, and although unusual it
dropped and took a couple of
weeks to recover.

NBIX historical price as follows:

12/10/2001 47.550
12/07/2001 49.360
12/06/2001 50.400
12/05/2001 49.690
12/04/2001 49.700

Why does this make you nervous? Isn't this part of the bargain for a developing biotech? Is it that you wanted them to wait until the stock price is higher?
