Compaq, HP CFOs say merger terms are definitive
NEW YORK, Dec 19 (Reuters) - The terms of the proposed merger of computer maker Compaq Computer Corp. (NYSE:CPQ - news) and computer and printer maker Hewlett-Packard Co. (NYSE:HWP - news) are set and not likely to be changed, chief financial officers from both companies said on Wednesday.

``It is a definitive deal. The deal when negotiated is a definitive and final deal,'' Compaq Chief Financial Officer Jeff Clarke told Reuters.

Hewlett-Packard CFO Bob Wayman made similar remarks when asked if the much scrutinized $22 billion deal might be altered. ``Anything is possible, but that is not our intent. We think this document makes the case quite well for why keeping this all together and as well bringing these two companies together is the right thing to do,'' he said.

Hewlett-Packard's plans to buy Compaq have come under increasing pressure in the past few weeks as members of the Hewlett and Packard families have said that they intend to vote their combined 18 percent block of shares against the merger.

Hewlett-Packard's Wayman said he doesn't expect to hear from other institutional investors on their plans this early in the process. "These institutional investo???esponsibly. They do not have final information. You should not expect them to be giving a view at th??? said.
