To All: This transaction shows the long term wisdom of MSFT's initial investment in ATT. While they were collecting a 5% dividend (tax free) they were able to control both the buy and the sell side of this deal. I am sure the covenants of their convert. preferred required ATT to go by MSFT in disposition of any substantial assets. On the buy side they were aiding the buyer. In this case they did this by accepting stock for payment of their interests rather than redeeming the preferred at face value. Very astute. MSFT is a wonderful combination of software marketing and R&D governed by very smart businessmen with a long term vision. They are the model of Calvin Coolidges mantra"The business of America is business". This is a great company. Who has done this well in the down turn? Who has a balance sheet like this? Who has the vision that this company has? And who eschews the "not invented here" better than MSFT? Nobody! JFD
