The Complaint alleges that defendants violated Section 10(b) and 20(a) of the Securities and Exchange Act of
1934 by issuing a series of false and misleading statements, and omissions of material fact during the Class
Period, concerning the Company's purported ownership of a $6 million ship named the Sea Atef; the unreported
disposition of 27% of the Company's stock by Defendant Bisschops; the understatement of the Company's selling,
general and administrative expenses in 2000; payments to a company controlled by Defendant Bisschops for
purported "administrative services"; and the overstatement of the number of new cars sold in the first quarter of
2001. The Complaint alleges that as a result of these false and misleading statements the price of ACLN
securities were artificially inflated throughout the Class Period causing plaintiff and the other members of the Class
to suffer damages.
