NP/Reuters say JDS completes deal for IBM unit

The National Post reports in its Thursday, Jan. 3, edition that JDS
Uniphase has completed its $340-million (U.S.) deal to buy the optical
transceiver business of International Business Machines. A Reuters dispatch
to the Post reports that JDS Uniphase said additional payments of up to
$85-million (U.S.) in cash or stock may be made to IBM in early 2003 based
on the profits of the acquired business. JDS Uniphase paid IBM $100-million
(U.S.) in cash and 26.9 million shares of JDS common stock. JDS said last
month the deal would allow it to move beyond telecommunications into the
data communications markets. The purchase will expand JDS's business from
long-haul communications to short-reach carrier and enterprise
communications applications. The products in the business include small
form factor transceivers and Gigabit Interface Converters for storage area
networks and local area networks. JDS last month warned sales would be weak
not only in the second quarter ended Dec. 29 but in the third quarter, as
well. The warning was the latest in a series of negative developments at
JDS, which announced a loss of $50.6-billion (U.S.) in the year ended June,
2001.
