The Company’s goal is to control the entire nutraceutical supply and distribution chain, from licensing and developing unique products, many of which have pharmaceutical potential, to manufacturing those products at our own facility, to distributing those products through the Company’s own retail outlets and marketing organizations. The Company is also fostering the further development of select nutraceutical products into fully functional pharmaceuticals.

The Company distributes a line of patented and proprietary nutritional supplement blends, including the C-Med-100® supplement, a patented formula and the only product of its kind that the U.S. Food & Drug Administration allows to claim assistance in the natural DNA repair process; VasoDerm, a powerful vasodilation product that increases blood flow, eliminates wrinkles, and restores a more youthful appearance; and Nutra Smokeless, an amazing supplement designed to reduce nicotine cravings and the amount of cigarettes smoked, and thus assist in the quitting process. Tantivy Entertainment is an innovative music production and distribution company designed to capitalize on significant opportunities in the recording industry. Tantivy Entertainment produces, markets, and distributes the work of nationally-recognized musical artists, distributing both original and live recordings, as well as concept-oriented product. The company is also in the business of purchasing and distributing existing classic rock, jazz, and big band music catalogs and other entertainment assets, such as DVD’s of live performances, including performances at the Company’s proprietary Branded Venues.



Tantivy Entertainment uses its proprietary Branded Venues to serve and promote musical artists throughout the world, and the Company also acquires, packages, and distributes select musical works from its growing catalog of established intellectual properties.



Through its extensive entertainment industry networks, the Company:



Works with accomplished musical artists through proprietary Branded Venues, through which we distribute our series of “Live At…” Compact Discs, which feature major nationwide acts such as Willie Nelson, Todd Rundgren, Art Garfunkel, Air Supply, The Righteous Brothers, and others.


Acquires the rights to undervalued music catalogs, such as classic rock and big bands from the 40s’ like Glen Miller and Tommy Dorsey.


Produces and distributes music CD’s and videos for select artists, such as The Boy’s Choir of Harlem.


Enters into nationwide distribution deals with major record labels.


Tantivy’s music distribution business is split into two divisions: Catalog and New Talent.


The Catalog Division is responsible for obtaining exclusive rights to pre-existing musical recordings and classic music catalogs, and for creating new compilations for distribution. Classic selections from artists and groups from the 50’s, 60’s and 70’s, such as Fats Domino, The Platters, Boston, and The Cars will frequently be added to Tantivy Entertainment’s Catalog.



The Catalog Division frequently dips into the Catalog to create and distribute new compilations, such as “The Greatest Hits of Molly Hatchet” and “Great 60’s Lounge Music”. Tantivy Entertainment has established relationships with major retail distributors throughout North America, such as Best Buy, Sam Goody, Tower Records, and The Wherehouse, and distributes product through these stores



The New Talent division assists with the creation of a master CD for one of Tantivy’s independent artist partners, and, when appropriate, approaches major record labels for a joint promotional agreement. Without major record label assistance, Tantivy reaps approximately $7-$8 in profit per each CD sold, with the rest going towards overhead and, of course, to the Artist. With major label assistance, Tantivy’s profit is reduced to $4 - $5 per CD, but the potential distribution is considerably greater.



Yet another DGBI subsidiary is Tantivy Technologies. Tantivy Technologies is the Company’s product development division, focusing on the design and development of highly advanced and innovative Internet business solutions. These solutions allow Tantivy Group clients, partners, and subsidiaries to leverage the Internet as a new market for their products and services, and as a tool to streamline their operations.



Tantivy Technologies develops new software applications, which it incorporates into products sold by other Tantivy Group subsidiaries, or by outside clients. Tantivy Technologies also assists its customers in building and managing their own e-businesses, while retaining a significant equity percentage of its customers’ enterprise.



Tantivy Technologies has developed the following products:



The Remote Publishing System, a powerful software application that enables users with little or no technical skills to create and maintain dynamic web pages; Synergy N4, a software application that allows for the fast and easy creation of vibrant e-commerce sites; and

The SMARTsystem, a Scalable Management And Reciprocal Transfer application that provides an instant and secure corporate intranet- permitting the user to instantly transfer vital information, manage inventories, transfer funds, and administer a nationwide organization from any point around the globe.



The final subsidiary is OTVnet, Inc… Digital Bridge acquired OTVnet, Inc. in September, 2000. OTVnet is in the business of creating and selling powerful online administration and communication tools to labor unions and their associated benefits trust organizations. Established in 1997, the company has grown to become a leader in the provision of proprietary Internet communication tools for unions and their associated training and contractor organizations, and is aggressively marketing its innovative product line to this tightly-focused niche market.

Chairman and Chief Executive Officer: John Flanders, Jr.: -- John Flanders is a recognized leader in new media technologies. Prior to assembling the Digital Bridge portfolio of companies, Mr. Flanders served as CTO of GlobalNet Financial.com, Inc. (Nasdaq: GLBN). Mr. Flanders currently sits on several Internet company Boards, including WiseCapital.com, Inc., Searchhound.com, Inc (OTC: SRHN), and StoreChoice.com, Inc. Prior to joining GlobalNetFinancial, Mr. Flanders was founder and CEO of CyberJunction.com Online, a leading nationwide developer network. Before launching CyberJunction, Mr. Flanders was Vice President of Sales and Marketing for eMergingMedia, Inc., a San Francisco based Interactive Agency, and he also worked with several other technology companies. Prior to joining the technology industry, Mr. Flanders served as President and COO of Flanders, Brunetti and Flanders Investment Management, Inc. Mr. Flanders is a much-sought-after speaker on the subjects of the Internet, Internet Investing, and E-commerce, and has authored numerous papers on these subjects.



President and Chief Financial Officer: Scott M. Manson: Mr. Manson is a CPA and an attorney with over 15 years of financial and legal experience with publicly held and emerging growth companies. Most recently, Mr. Manson was Chief Financial Officer and General Counsel of FTM Media, Inc. (FTMM) a NASDAQ listed provider of internet services to the radio industry. He previously was CFO of Imaging Management Associates, a NASDAQ listed owner and operator of diagnostic imaging centers. In addition, Mr. Manson was one of the founders of both "MagazineWeek" and Health New England, the first for profit HMO in the state of Massachusetts. Mr. Manson also serves on the Board of Directors or Advisory Boards of Hardwood Media, Inc., Sivilian Entertainment Group, Inc., Walrus Corporation, Anvil Studios, Inc. Internet Business Centers, Inc. and Morris Street Productions, Inc. Mr. Manson received a Juris Doctor from Hofstra University School of Law and a B.B.A cum laude in Accounting from Hofstra University.



Vice President of Corporate Services and Corporate Counsel: Seth D. Heyman: - Prior to joining the Digital Bridge management team, Mr. Heyman maintained a successful law practice specializing in Internet business and e-commerce transactions, and also served as Vice President of Corporate Development of The Idealign Group, LLC, a San Diego based Internet Incubator, and as Executive Vice President of PlanetLinxs International, Inc., an international e-commerce development and project management company. Mr. Heyman has also served as corporate counsel to several Internet ventures, and has represented numerous e-commerce concerns and software development companies in connection with mergers, acquisitions, and international joint ventures. Mr. Heyman has also investigated unfair labor practice charges for the City of Phoenix, Arizona, and taught legal research and writing skills to first-year law students at the Arizona State University College of Law. Mr. Heyman received a B.A. from the University of Colorado, and a J.D. from the Arizona State University College of Law.



Managing Director, Tantivy Sciences: Ronald M. Friedman- Mr. Friedman is the former Chief Operating Officer and VP of two separate divisions of Superscope, Inc. (NYSE) the exclusive distributor of Sony products in the Western World for more than 25 years. Mr. Friedman developed a comprehensive sales and marketing strategy for this large international organization, and also built, managed, and motivated a large multinational sales force. Mr. Friedman moved on to become the Senior Vice President of Sales & Marketing for the start-up company Video Alliance Group, Inc.. Following his successful stint with Video Alliance Group, Mr. Friedman founded the e-commerce concern DollarDays International, Inc. where he directed sales and marketing efforts, negotiated and implemented advertising and promotional strategies, and recruited and managed a large sales staff. Mr. Friedman has also undertaken significant leadership positions in various professional organizations such as The Business Professional Association, the Internet Technology Association, The Electronic Industry Association, The Toy Industry Association, and others.



Managing Director, Tantivy Entertainment: Jerome Bowie— Mr. Bowie has over 30 years of experience in the entertainment distribution industry, having served as an executive with K-Tel and other music distribution companies, where he established relationships with major retail and record store distribution partners throughout North America. Mr. Bowie is also responsible for the growth of Tantivy’s Catalog Division, and has secured and distributed hundreds of valuable music properties.

Kenneth A. Paganini– Kenneth A. Paganini was elected to the Digital Bridge Board of Directors on September 2000, following the Company’s acquisition of OTVnet. Mr. Paganini was the Chief Executive Officer of OTVnet prior to the merger with Digital Bridge. He is also the President and Chief Executive Officer of Paganini Electrical Contractors and The Paganini Companies, and also serves as the Governor of District 9 for the National Electrical Contractors Association.

There are literally thousands of highly skilled and respected doctors, researchers, and nutritional specialists across the world that are developing—or have already developed— unique and truly efficacious nutritional products. These professionals are sound scientists, but they lack the manufacturing, development, and distribution expertise to bring their products to market, and also lack the funds necessary to bring promising products to the next level— a licensed pharmaceutical application.



Tantivy Sciences helps these professionals develop their products, and get them to market quickly and effectively. The Company also serves as a provider of research and development funds for nutraceutical products with promising pharmaceutical applications. Recently, nutraceutical companies have been getting increased attention in the marketplace. We expect DGBI to begin to see more attention through the nutraceutical angle.



The service side of our company is exemplified by Tantivy Technologies, which works on a small number of highly technical “hands on” projects that both provide cash flow and equity to the balance sheet. In developing technology solutions for these portfolio clients, Digital Bridge is creating intellectual properties whose full rights are retained by the Company, and can then be turned into market leading products.
