- if SOFN owed creditors $100 bill, then SOFN wouldn't be able to use its NOL's

- but since SOFN is basically clean, then SOFN can become the holding company - & the acquirer becomes the subsidiary of SOFN -

- it sounds nutty - but I've seen these types of mergers before - & i think they were done to take advantage of the NOL's
