It is about lack of transparency, which is especially important in a trust-based business. I think the big mistake they made was to try to combine clever accounting and legal constructs (which might or might not prove to have been legal) and secrecy with a business that needs a (nearly?) fiduciary level of trust. One hint of a problem, and it's over.

But that's JMHO.
